Oregon Attorney General Challenges Paramount and Warner Bros Merger, Questions Federal Approval Process

Oregon’s attorney general has launched an aggressive challenge to one of the largest media mergers in recent history, asking a state judge to halt the combination of Paramount and Warner Bros while raising explosive allegations about the integrity of federal antitrust oversight. Lawyers representing the Oregon Attorney General’s office filed a motion seeking a 60 day delay in Multnomah County Superior Court, arguing that state investigators need additional time to determine whether the merger violates antitrust laws. Judge Eric Dahlin has scheduled a hearing on the motion for Monday. Legal representatives for Paramount Skydance have informed the court that they do not plan to finalize the Warner Bros acquisition before July 22, providing a narrow window for state authorities to make their case.

The allegations from Oregon officials go beyond routine regulatory scrutiny. Court filings suggest that the Department of Justice’s approval of the transaction may have been tainted by corruption, though specific details of these claims have not yet been made public. Such accusations are exceedingly rare in merger reviews and signal that state prosecutors believe they have uncovered serious irregularities in how federal authorities evaluated the competitive implications of combining two major Hollywood studios.

State attorneys general have increasingly asserted their authority to challenge mergers independently of federal regulators, viewing themselves as a crucial backstop when Washington approves deals that could harm consumers or competition. Oregon’s intervention follows a pattern seen in other high profile cases where state officials have stepped in after federal approval, arguing that local markets face unique harms not adequately considered at the national level. Beyond the immediate legal battle, the corruption allegations against the DOJ approval process could trigger congressional oversight and potentially criminal investigations, adding layers of complexity to what was already one of the most closely watched business transactions of the year.
